These Terms & Conditions govern access to and use of the CloudNine Technological LLC website (the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1) Who we are
The Site is operated by CloudNine Technological LLC (“CloudNine,” “we,” “us,” “our”).
2) Changes to these Terms
We may update these Terms at any time. Updates are effective when posted. Continued use of the Site means you accept the updated Terms.
3) Permitted use
You may use the Site for lawful purposes and for learning about our services, requesting information, or contacting us.
You agree not to:

Attempt to access non-public areas of the Site or our systems.
Interfere with the Site’s normal operation, performance, or security.
Upload, transmit, or distribute malware, exploits, or harmful code.
Scrape, harvest, or collect information from the Site at scale without written permission.

The Site may contain links to third-party sites. We do not control those sites and are not responsible for their content, policies, or practices. Use third-party sites at your own risk.

The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Site will be uninterrupted, error-free, or secure, or that defects will be corrected.
7) No professional advice via the Site
Information on the Site is provided for general informational purposes only. It is not a substitute for professional advice tailored to your environment. Contacting us through the Site does not create a client relationship.
8) Services and engagements
CloudNine provides IT, SysOps, software, and cybersecurity services. Any services are delivered only under a separate written agreement, statement of work, or other signed terms (an “Engagement Agreement”). If an Engagement Agreement exists, it governs the services and will control over these Terms in the event of a conflict.
9) Limitation of liability
To the maximum extent permitted by law, CloudNine and its members, managers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Site.
To the maximum extent permitted by law, CloudNine’s total liability for any claim related to the Site will not exceed $100 USD.
10) Indemnification
You agree to indemnify and hold harmless CloudNine and its members, managers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or violation of these Terms.
11) Privacy
Your use of the Site is also subject to our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy, the Privacy Policy controls for privacy-related topics.
12) Termination
We may suspend or terminate access to the Site at any time if we believe you are violating these Terms or creating risk to the Site, users, or our systems.
13) Governing law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought in state or federal courts located in Massachusetts, and you consent to their jurisdiction.
